Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you ("you", "Customer", or "User") and Neurixco ("Neurixco", "we", "us", or "our"), governing your access to and use of the Neurixco website, application, dashboard, documentation, and any related services (collectively, the "Service"). Please read these Terms carefully. By accessing, registering for, or using the Service, you agree to be bound by these Terms, our Privacy Policy and any other policies referenced herein. If you do not agree, do not access or use the Service.

1. Acceptance & Modifications

By accessing or using the Service you agree to these Terms. We may modify these Terms at any time by posting an updated version on this page with a revised "Last updated" date. Material changes will be communicated by email or in-app notice where reasonably practicable. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Service.

2. Description of Service

Neurixco provides an AI-powered study, research, and content generation platform consumed via a web application and dashboard. The Service may aggregate, summarize, or relay content from third-party AI models and sources. The Service is provided on an "as is" and "as available" basis. We reserve the right to add, modify, throttle, suspend, or discontinue any feature, model, or provider integration at any time without liability, with reasonable notice where practicable.

3. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and legally able to enter into binding contracts to use the Service. If you use the Service on behalf of an organization, you represent and warrant that (a) you have authority to bind that organization, and (b) the organization accepts these Terms. The Service is not available to any person previously suspended or removed from the Service, or to any individual or entity barred from receiving services under the laws of the United States, the European Union, the United Kingdom, or any other applicable jurisdiction, including sanctions and export control regimes (e.g., OFAC, EU, UK sanctions lists).

4. Accounts & Credentials

You are responsible for: (a) providing accurate, current, and complete registration information and keeping it updated; (b) maintaining the confidentiality of your account credentials and OAuth secrets; (c) all activity that occurs under your account, including by sub-users and team members; and (d) promptly notifying us at support@neurixco.com of any suspected unauthorized access or security incident. We are not liable for any loss or damage arising from your failure to safeguard credentials.

5. Acceptable Use

You agree that you will not, and will not permit any third party to:

  • use the Service in violation of any applicable law, regulation, or third-party right;
  • use the Service to generate, distribute, or facilitate spam, malware, phishing, fraud, harassment, defamation, hate speech, child sexual abuse material (CSAM), terrorism or violent extremism content, non-consensual intimate imagery, or content that infringes intellectual property or privacy rights;
  • scrape, reverse-engineer, decompile, or attempt to derive source code of the Service except to the extent expressly permitted by applicable law;
  • resell, sublicense, or share access credentials with unauthorized parties, or operate the Service as a stand-alone competing AI platform;
  • circumvent, disable, or interfere with rate limits, quotas, authentication, billing controls, or security features;
  • use the Service to train a competing large language model or foundation model;
  • upload or transmit any data containing protected health information (PHI), payment card data (PCI), government-issued identifiers, or other regulated data unless we have a written agreement covering such data;
  • introduce viruses, worms, time bombs, or other harmful code, or perform load, penetration, or vulnerability testing without our prior written consent;
  • misrepresent the source of Service output, or remove attribution, citations, or branding required by upstream providers.

We may investigate suspected violations and may suspend or terminate access without prior notice where we reasonably believe a violation has occurred or is likely to occur.

6. Customer Content & Third-Party Output

Your Content. You retain all rights in documents, notes, prompts, files, and other data you submit to the Service ("Customer Content"). You grant Neurixco a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely to operate, secure, and improve the Service, comply with law, and as otherwise instructed by you. You represent and warrant that you have all rights necessary to submit Customer Content and that doing so does not violate any law or third-party right.

AI Output. The Service surfaces information from third-party AI models. Output may be inaccurate, incomplete, biased, offensive, or out of date. You are solely responsible for verifying output before relying on it, and for all decisions made based on output. Neurixco does not guarantee that output is suitable for any particular purpose, including without limitation legal, medical, financial, safety-critical, or high-risk decision-making.

No Training on Your Content. We do not use Customer Content to train our own or third-party foundation models without your explicit opt-in. Aggregated, de-identified telemetry (e.g., latency, error codes, feature counts) may be used to operate and improve the Service.

7. Intellectual Property

The Service, including all software, documentation, designs, trademarks, and branding, is owned by Neurixco or its licensors and is protected by intellectual property and other laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term solely for your internal business or personal purposes and the purposes expressly contemplated by the Service. No rights are granted by implication, estoppel, or otherwise. You may not use "Neurixco" or our logos without our prior written consent.

8. Plans, Credits, Billing & Payments

Plans & Credits. Paid plans are billed in advance on a monthly or annual basis at the price displayed at checkout. Each plan includes a monthly credit allowance. Different features consume different credit amounts, as documented on our Pricing page. Unused monthly credits expire at the end of each billing cycle unless rollover is explicitly enabled by an administrator.

What "consuming a credit" means. A credit is deemed consumed when the Service successfully accepts and dispatches a billable request, regardless of the usefulness, relevance, or accuracy of the response, and regardless of any downstream action you take with the response. Credits are a prepaid license fee for access to the Service and are not stored monetary value, gift cards, or cash equivalents.

Top-ups. Top-up credit packs are one-time purchases and expire 12 months from the purchase date.

Payment Processing. Payments are processed by Stripe, Inc. By providing payment information you authorize us and Stripe to charge the applicable amounts (including taxes and fees) to your designated payment method. Stripe's own terms and privacy policy apply to payment processing. We do not store full card numbers on our systems.

Taxes. Stated prices exclude sales, use, value-added (VAT/GST), withholding, and similar taxes. You are responsible for all such taxes other than taxes on our net income.

Auto-renewal & Easy Cancellation. Subscriptions automatically renew at the then-current price for successive periods unless cancelled before the renewal date. You may cancel at any time, in a single step, from the Billing page in your dashboard — without contacting support, calling, or completing any retention flow. Cancellation takes effect at the end of the current billing period.

Price Changes. We may change pricing with at least 30 days' prior notice (email or in-app), effective at the next renewal.

Overages & Auto Top-up. If you exceed your plan's credit allowance, requests may be denied or, if you have enabled auto top-up, additional credits may be purchased automatically per your configured settings.

Late Payment. Failed payments may result in service suspension. We may retry failed charges and may charge interest on overdue amounts at the lower of 1.5% per month or the maximum rate permitted by law.

9. Refunds & Cancellation

Except where required by mandatory consumer protection law (including the EU/UK 14-day right of withdrawal where applicable, which is waived once you begin using the Service for digital content), all fees are non-refundable, including unused credits, unused portions of a billing period, and top-up packs. Narrow carve-outs. We will refund (a) duplicate charges resulting from a verified technical error on our part, and (b) the unused portion of a charge for a billing period in which a confirmed Service-wide outage attributable to Neurixco materially prevented your use of the Service, in each case after good-faith investigation. You may cancel auto-renewal at any time via the Billing page (single-step cancellation, no retention flow) or by emailing support@neurixco.com. We may, in our sole discretion and as a goodwill gesture, issue additional partial refunds; doing so does not create any obligation to do so in the future. Chargebacks. You agree to contact us at support@neurixco.com to attempt good-faith resolution before initiating a payment dispute or chargeback with your card issuer or bank. Chargebacks initiated without prior contact, or for charges that conform to these Terms, may result in immediate account termination, forfeiture of unused credits, and collection of disputed amounts plus reasonable investigation and processing costs.

10. Suspension & Termination

We may suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice if (a) you breach these Terms or our Acceptable Use policy; (b) your payment fails or is reversed; (c) we reasonably believe your use poses a security, legal, or reputational risk to us, our customers, or third parties; (d) you initiate a fraudulent chargeback, create multiple accounts to circumvent quotas, or attempt to evade billing; or (e) required by law or by an upstream provider. You may terminate your account at any time via the dashboard. Upon termination: (i) your right to use the Service ends; (ii) unused credits are forfeited without compensation; (iii) we may delete Customer Content after a reasonable grace period, subject to backup retention; and (iv) Sections 5–7, 9–22 survive termination.

11. Service Changes, Deprecation & Service Levels

We continuously improve the Service. We may add new features, models, or capabilities without notice. For breaking changes to a generally available feature (removal of a feature, removal of a documented field, or an incompatible change to authentication or required parameters), we will use commercially reasonable efforts to provide at least 30 days' advance notice via email or in-app notice. Beta, preview, experimental, and free-tier features may change or be discontinued at any time without notice. Documented rate limits and quotas are contractual; exceeding them is a material breach and we may throttle, queue, or reject requests without liability. Unless expressly stated in a separate written agreement (e.g., an Enterprise order form or SLA), the Service is provided without any uptime, latency, or availability commitment.

12. Third-Party Services

The Service interoperates with third-party services (AI model providers, payment processors, identity providers, hosting, analytics). Your use of such third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, content, or practices of third-party services — including hallucinations, errors, omissions, or harmful output produced by third-party AI models accessed via the Service — and disclaim all liability arising therefrom.

13. Confidentiality

Each party shall protect the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information (and no less than reasonable care), use it only to perform under these Terms, and not disclose it except to representatives bound by confidentiality obligations. Confidential Information does not include information that is public, independently developed, rightfully received from a third party without restriction, or required to be disclosed by law (with notice where permitted).

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT OUTPUT WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS. YOU ASSUME ALL RISK ARISING FROM USE OF THE SERVICE AND ANY OUTPUT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEURIXCO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). MULTIPLE CLAIMS DO NOT EXPAND THIS CAP. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Neurixco and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, fines, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your access to or use of the Service; (b) your Customer Content or any output generated from your queries; (c) your violation of these Terms or any applicable law; or (d) your infringement or alleged infringement of any third-party right. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

17. Export Controls & Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive U.S., EU, or UK sanctions, and that you are not on any restricted-party list. You will comply with all applicable export, re-export, and sanctions laws in connection with your use of the Service.

18. Force Majeure

Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, civil unrest, government action, labor disputes, pandemic, internet or utility outages, denial-of-service attacks, or failures of upstream providers.

19. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Neurixco is incorporated, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute through good-faith negotiation. If a dispute is not resolved within thirty (30) days, it shall be finally settled by binding arbitration administered under the rules of a recognized arbitral institution in that jurisdiction, by a sole arbitrator, conducted in English. Each party bears its own costs. Class actions, collective actions, and class-wide arbitration are not permitted. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. Where mandatory consumer law grants you additional rights (e.g., for EU/UK consumers), those rights are unaffected.

20. Notices

We may give notices by email to the address associated with your account, by posting on the Service, or by in-app notification. You must send legal notices to support@neurixco.com.

21. Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets. Any prohibited assignment is null and void.

22. Severability & Waiver

If any provision is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. Failure to enforce any right is not a waiver of that right.

23. Entire Agreement

These Terms, together with our Privacy Policy and any order forms or written agreements between us, constitute the entire agreement between you and Neurixco regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals.
